Company Profile. INVESTCO MANAGEMENT & DEVELOPMENT LLC “IMD”, provides acquisition, administration and management services for our investor-owned investment companies. The investor-owned companies take title to the properties by vesting in the company name and the company is 100% owned by the investors.
IMD utilizes the limited liability company form for each of its investor corporate entities. Companies that have been formed by IMD can be verified through the California Business Portal on Web site www.ss.ca.gov. During the tax year that a specific property or real estate project is liquidated, the company that owns the property or real estate project is dissolved, the final tax return of the entity is filed and the appropriate documents are provided to investors.
Prior entitlement projects completed by founders are: (1) Obtained entitlements for 328 single family homes in Palmdale, California, Los Angeles County and sale of the preliminary tentative map to a builder. This is similar to the Plan Review liquidation scenario proposed in several of the LLC projects; (2) Constructed a four story office building in downtown San Jose, California; (3) Development and construction of 358 condominium units in San Jose; and (4) Land acquisition, development and construction of single family lots in Woodside California and Portola Valley.

Following is a brief profile of IMD’s general management and ownership team:
Douglas Hanson – Managing Member Mr. Hanson is a Silicon Valley entrepreneur with 30 years experience in the high tech industry and Real Estate acquisition, development and sales. He started his career with HP in Palo Alto California, and held several management positions over a 13 year period. He left HP to become a partner in Smith Bellingham, a boutique investment banking firm located in San Francisco where he worked with companies in Asia investing in Silicon Valley technology companies. He is a founder and investor in several companies, and became a partner in a Real Estate investment firm in Redwood City, California that specialized in the acquisition and development of vacant land. He has been a partner and manager several successful Real Estate projects in Northern and Southern California, including: obtaining entitlements for 328 single family homes in Palmdale and sale of preliminary tentative map to a builder; construction of a four story office building in downtown San Jose; development and construction of 358 condominium units in San Jose; land acquisition, development and construction of single family lots in Woodside and Portola Valley. Mr. Hanson received a BSEE degree from the University of Maine and earned an MBA with High Honors from Boston University. He is licensed under the California Department of Real Estate and has held a Series 7 Securities license.
Christopher P. Epsha – Managing Member Mr. Epsha is the corporate attorney for IMD and the investment LLCs formed by IMD. Mr. Epsha has been practicing law for nine years and has been licensed in California since 1998. Mr. Epsha has represented individuals and companies in civil litigation and counseled clients in a broad range of commercial matters. Mr. Epsha is a real estate broker licensed by the California Department of Real Estate. In conjunction with outside counsel, Mr. Epsha prepares and reviews the offering documents each LLC for compliance with the state law of California. The IMD office is responsible for the ongoing administration, maintenance and operational issues associated with the LLC’s operating agreement, management agreement, private placement memorandum and all corporate issues. Under Mr. Epsha’s direction, IMD currently works in conjunction with a major financial institution as our preferred qualified intermediary. This established relationship facilitates the LLC’s IRS reporting requirements. IMD will cooperate with any other qualified intermediary such as PENSCO or Equity Trust on behalf of the investor. Mr. Epsha is a graduate of Michigan State University, graduated cum laude from Michigan State University Law School, is a member of the California and Michigan bar associations. Steve Thompson - Managing Member Mr. Thompson is a Real Estate Broker with 34 years experience in commercial real estate, residential sales, land acquisition and sale, property entitlements and development, 1031 Exchanges, syndications, limited partnerships and mortgage banking. Over the past several years, Mr. Thompson has been with Prudential California Realty and has assisted investors in successfully diversifying their portfolios from the stock market into real estate investments. Mr. Thompson has conducted motivational sales training programs for such renowned organizations as Tommy Hopkins and Jerry Bresser, and has recruited and trained agents and managed the sales operations for a variety of business organizations. Mr. Thompson is responsible for managing IMD’s investment office, account executives and marketing support staff. Mr. Thompson has a BA Degree in Psychology and Business, a Masters Degree in International Studies from California State University-Fresno, and has studied in France and Switzerland. Mr. Thompson is a licensed California Real Estate Broker and has memberships in San Mateo, Marin, Sonoma and Mendocino county community service organizations. IMD Account Executives, Marketing and Administrative Support Staff: James Fallon – Director James Fallon has over 20 years experience in real estate finance and sales. Mr. Fallon was a key member of a development team that built and sold a master planned golf community in Maui, Hawaii. This community included 170 single-family homes and 320 condominiums. Mr. Fallon was responsible for sales of a planned unit high density housing development in Pismo Beach California which totaled in excess of 100 individual units. Mr. Fallon has syndicated 56 acres of industrial land which is presently being developed into an industrial park. Mr. Fallon has represented hundreds of clients throughout Hawaii and California for the acquisition and sales of properties.
